1. Agreement Overview

This contract (“Agreement”) is between Sprout Digitally (“We,” “Us,” or “Our”) and you (“Client”). By engaging with our services, you agree to the terms outlined here. These terms ensure transparency and fairness for both parties.

2. Services Provided

We provide social media management and digital marketing services, including content creation, strategy development, advertising campaigns, analytics, and reporting, as outlined in the project scope.

3. Fees and Payment

• For one-time projects, a 50% upfront deposit is required before starting the work. The remaining balance is due upon project completion.

• For ongoing monthly services, full payment is due at the start of each billing cycle.

• Any additional work outside the agreed scope may incur extra fees, and in the event of an outstanding balance, we may need to cover collection costs, including attorney fees.

4. Deliverables and Deadlines

You are responsible for providing all required materials (e.g., logos, branding guidelines) promptly. Any delays may extend the project timeline. We will meet agreed deadlines unless there are unforeseen delays beyond our control.

5. Revisions and Approval

You have 7 days to review and request changes to the work upon completion. After 7 days, the work will be considered approved. Additional changes beyond the agreed scope may incur extra charges. We include up to five rounds of revisions; any further revisions will be charged accordingly.

6. Confidentiality

We value your privacy and will keep any information you provide confidential, using it solely for providing our services. This confidentiality continues even after the project ends.

7. Refund Policy

All services are non-refundable. However, if there are issues with the quality of our work or the deliverables, we offer different refund-tiers to ensure the best possible outcome for both parties.

We offer a three-tier refund policy based on your satisfaction:

• Tier 1: Full Refund for Initial Dissatisfaction: If you are not satisfied with the services within the first month, we will refund the amount paid for our social media services fee. Any additional advertising/meta/adwords fee incurred is non-refundable.

• Tier 2: Partial or Prorated Refunds: If you’re dissatisfied after the first month, we will assess the work completed up to the point of dissatisfaction and offer a pro-rated refund for any services not yet delivered or in progress.

• Complimentary Services: Services offered free of charge are non-refundable. If you are dissatisfied with complimentary services, we will work with you to find an agreeable solution but will not issue a refund.

8. Indemnification

You agree to protect Sprout Digitally from any third-party claims or legal actions arising from the materials you provide, including any copyright violations.

9. Liability

We are not liable for any indirect, consequential, or punitive damages. Our total liability is limited to the amount you’ve paid for services in the past 12 months.

10. Termination

Either party may terminate this agreement with 30 days’ notice in the event of a material breach. Upon termination, all outstanding fees become due, and any completed work remains your property.

11.Dispute Resolution

If there’s a dispute, both parties agree to attempt mediation before taking legal action. This agreement is governed by the laws of Texas.

12.Changes to Terms

We may update these Terms and Conditions at any time. We will notify you of any changes, and your continued use of our services will indicate your acceptance of the updated terms.
